You are still permitted to use dictionaries, thesauri, spelling and grammar-checking software to help identify and correct spelling mistakes and grammatical errors (even if they are powered by Gen AI). Answer the following question:
You are a junior solicitor in the Corporate Team of the London office of a major international law firm. Your supervising Partner, a senior lawyer in the firm, has asked you to provide a briefing document for her, setting out your initial advice on the following factual scenario.
Your client is Johnson Holdings Ltd. (“Johnson Holdings“). Johnson Holdings is a retail conglomerate incorporated in England and Wales. Johnson Holdings is the parent company of Johnson Subsidiary Ltd. (“Johnson Subsidiary“). Johnson Holdings is financially stable with significant assets. Johnson Subsidiary engages in retail operations in England and Wales and operates independently of Johnson Holdings in terms of day-to-day management, but relies heavily on Johnson Holdings for strategic decisions and financial support.
Alf Ltd is a reputable company that has been supplying Johnson Subsidiary for the past three years under a standard contract for the supply of goods worth £100,000. The contract stipulates that payment is due within 30 days of delivery of the last consignment of goods. All the goods have been delivered but Johnson Subsidiary has missed the payment deadline for them and has not made any partial payments. Johnson Subsidiary is facing severe financial distress, with negative cash flow and mounting debts. It has no significant assets of its own and is heavily reliant on financial support from Johnson Holdings.
Alf Ltd is aware of Johnson Subsidiary’s financial difficulties and has initiated legal proceedings against Johnson Holdings, claiming that Johnson Holdings should be held liable for the £100,000 debt. Alf Ltd argues that Johnson Holdings has substantial control over Johnson Subsidiary and should be responsible for the debt incurred by its subsidiary.
You have been asked to prepare a briefing memorandum for your supervising partner in relation to the likelihood of Johnson Holdings being held liable for the debt owed by Johnson Subsidiary to Alf Ltd.
Your answer, which should be written in the style of a report, must be supported by appropriate legal authority, such as case law and legislation where appropriate.
