INSTRUCTIONS

  1. This assessment tests the learning outcomes 1 and 2 for this module (as they are listed in the module catalogue).
  • The assessment will count for 50% of your total marks for this module.
  • Your completed assessment must be submitted electronically to Turnitin through Minerva VLE by 12 noon on Wednesday 15th January 2025. To do this, you must log into Minerva Portal & VLE and click on the ‘Modules’ tab.  Select the appropriate module title (named at the top of this template), then click on ‘Submit My Work’ in the Assessment and Feedback folder.  Select the link to the relevant assessment then upload your work.  By submitting your assessed work through the VLE you are accepting the Declaration of Academic Integrity, extending to a declaration that the work is not plagiarised and that the word count is accurately stated.
  • You should complete an Assessed Coursework Cover Sheet with details of your Student ID number, Module Code & Title and Declared Word Count and insert this at the beginning of your assessment before uploading to Turnitin.
  • Work which is submitted after the deadline will be penalised in accordance with University rules as follows: you will be deducted 5 marks for every 24 hour period or part thereof that your assessment is overdue, up to 14 days.  If your work is more than 14 days late, or if the deduction is larger than the mark you receive, you will receive a mark of 0. 
  • Extensions of the deadline for submission can only be granted in exceptional circumstances and can only be obtained from Student Support Officers (studentsupportlaw@leeds.ac.uk).
  • It is your responsibility to ensure that you have submitted the correct version of your work.  If, after making a submission, you claim that you mistakenly submitted a draft, the wrong version or a different assessment, the original version, which was submitted by the deadline, will still be treated as your submission.
  • You should obtain your digital receipt of submission. You are also required to keep an additional copy of your work for your own reference.  In addition, you must keep your notes and draft copies of the work.
  • You should ensure that you do not include your name anywhere on your assessment in order that it remains anonymous for marking – however, you should include your Student ID number, module code, module title and state the word count on the header of each page and as the file name of your document.
  1. The length of your work should not exceed 4,000 words (excluding footnotes, endnotes, bibliography, and restatement of the assessment question).  If you exceed the maximum by more than 10%, this will be reflected in the mark, in accordance with the assessment criteria.
  1. Referencing instructions: Students on Law postgraduate programmes should use OSCOLA referencing. Students on the MSc Criminal Justice and Criminology programme should use the official University of Leeds version of Harvard referencing.
  1. Use of Gen AI (Generative Artificial Intelligence): There is a three-tier traffic light categorisation for using Gen AI in assessments. This assessment is RED category.  AI tools cannot be used. The standard academic misconduct procedure applies for students believed to have ignored this categorisation.

You are still permitted to use dictionaries, thesauri, spelling and grammar-checking software to help identify and correct spelling mistakes and grammatical errors (even if they are powered by Gen AI). However, you should not use any software to produce sentences, and/or rewrite sentences to change the meaning of the original text, so that the ideas you are representing as your own are not your own. This assessment is red because you are being asked to demonstrate foundational skills of understanding, which would be undermined by use of Gen AI.

  1. Plagiarism and Cheating

It is essential that your assessed work represents your own work and that it has not been produced in collusion with any other party.  Text and ideas derived from written sources (including electronic sources) must be acknowledged by way of appropriate citation.  If you are not aware of the University’s rules on plagiarism and academic malpractice, please familiarise yourself with the relevant regulations as set out on the secretariat website.  You should also refer to the Academic Integrity Handbook on Minerva VLE under Organisation/Law/Taught

Answer the following question:   

You are a junior solicitor in the Corporate Team of the London office of a major international law firm. Your supervising Partner, a senior lawyer in the firm, has asked you to provide a briefing document for her, setting out your initial advice on the following factual scenario. 

Your client is Johnson Holdings Ltd. (“Johnson Holdings“).  Johnson Holdings is a retail conglomerate incorporated in England and Wales. Johnson Holdings is the parent company of Johnson Subsidiary Ltd. (“Johnson Subsidiary“). Johnson Holdings is financially stable with significant assets. Johnson Subsidiary engages in retail operations in England and Wales and operates independently of Johnson Holdings in terms of day-to-day management, but relies heavily on Johnson Holdings for strategic decisions and financial support. 

Alf Ltd is a reputable company that has been supplying Johnson Subsidiary for the past three years under a standard contract for the supply of goods worth £100,000. The contract stipulates that payment is due within 30 days of delivery of the last consignment of goods. All the goods have been delivered but Johnson Subsidiary has missed the payment deadline for them and has not made any partial payments. Johnson Subsidiary is facing severe financial distress, with negative cash flow and mounting debts. It has no significant assets of its own and is heavily reliant on financial support from Johnson Holdings. 

Alf Ltd is aware of Johnson Subsidiary’s financial difficulties and has initiated legal proceedings against Johnson Holdings, claiming that Johnson Holdings should be held liable for the £100,000 debt. Alf Ltd argues that Johnson Holdings has substantial control over Johnson Subsidiary and should be responsible for the debt incurred by its subsidiary. 

You have been asked to prepare a briefing memorandum for your supervising partner in relation to the likelihood of Johnson Holdings being held liable for the debt owed by Johnson Subsidiary to Alf Ltd

Your answer, which should be written in the style of a report, must be supported by appropriate legal authority, such as case law and legislation where appropriate.
